September 2024 Release Notes
This notice is to inform the customers of the Business License Portal September 19th, 2024, software updates. The release features items that improves the system functionality, ensures adherence to Nevada Regulatory Statutes (NRS) and provides enhancements that you, the consumer, have been asking for via surveys and correspondence with the office of the Secretary of State.
What's New
Articles - Exchange, Merger and Conversion – In Section 2 (Entity Information: Resulting, Acquiring or Surviving) the Jurisdiction will now display on the output documentation.
Articles - Exchange – System update to allow for BOTH required Acquired and Acquiring parties to sign the filing.
Articles - Merger - A forwarding address is now required when survivor entity is non-qualified entity (Entity is outside the boundaries of Nevada)
Articles - Restated Articles - All Domestic Amendment filing flows. Two changes: First there is now a required ‘date field’ for which the Board of Directors resolved to adopt Restated Articles. Second, if “Restated Articles” is clicked the online user will not be able to select any of the Amendatory radio buttons in “Amendment and Restated Articles” section button as no changes can be made when only restating the articles. This is a one or the other option, not both.
Foreign LLC (FLLC) and Foreign Professional LLC (FPLLC)
- Records Office and Company Address: Users will receive the below “Pop-up” alert if they leave any part of the Office Address or Records Office Address blank.
FPLLLC ONLY - Profession To Be Practiced - A new required section has been added for the user to fill out.
Amendment outputs will be correctly populated - All online edits made to Amendment to Application for Registration of FLLC & FPLLLC will now be displayed as expected.
Restricting the RA's Online ability to file a ‘RA Statement of Change’ on a CRA Entity type. RAs will receive a “Pop-up” message informing them they are not allowed to make the desired change to the selected Entity type.
Certificate of Revival:

Filing history was showing as 0 even though there was an image present. Users will now see the Certificate of Revival pages accurately displayed.

Checked declaration boxes were not displaying on the outputs for both the Domestic and Foreign Corporation filings. Now the outputs will display as expected.
UCC - Known issue - UCC Filings randomly not charging correctly. This issue is not fixed but a ‘pop-up’ alert will help the guide the customer on next steps (submit off line) and mitigate confusion .
Shopping Cart:

Multiple users like CRAs, can now be in the same profile, using the same log in and the same credit card without overriding each other. They will have the ability to check out multiple Items without filings getting locked in progress. Customers will be able to conduct their business faster without having to wait for us to review their locked in progress status.

The 2.5% fee will charge accordingly when multiple users are using the same credit card, same profile and checking out at the same time.

'Save for Later' option will no longer prompt the Perjury declaration pop up when a customer is not ready to check out. Customers will only see the Perjury declaration pop up when they are fully ready to check out.
New Business Checklist

The 'Previous' buttons have been fixed allowing the user better navigation experience.

Domestic Limited Partnerships and Out of State Charitable Solicitations NRS links have been updated to point to the correct information. These links have been updated throughout the system. Customers will experience less frustration and confusion when looking up these statutes.

Fee Calculator has been updated to reflect correct fee estimates.
Common Business Checklist

Drafts will no longer display errors when a CBR is in a shopping cart but the customer clicks “Cancel” or tries to make a change. Customers will be able to make edits before checking out without the system throwing errors and snowballing into other filing errors in the system.
General
- The entire pop-up box will be viewable regardless of screen resolution. Customers will be able to see the full pop-up message and click on the ‘x’ widget to remove the message and move forward in their filing without being locked or the need to restart, regardless of their screen resolution settings.
Lastly - On the SilverFlume home page the “Start a New Business” link has been removed as it is the same exact link as “Get a State Business License”
Project Orion continues to focus on improving the customer experience, lessening the burden on anyone who interacts with the Secretary of State’s Office and Commercial Recordings. This fall we will begin a phased approach to a full replacement of the system and implementation of a true state of the art modernized product.
In the immediate future we will continue to prioritize and deploy fixes and enhancements that will keep the current system stable and improve user experience.
