Secretary of State Francisco Aguilar announces legal win to support businesses leaving Delaware, incorporating in Nevada
CARSON CITY, NV – Nevada Secretary of State Francisco Aguilar is announcing a win in the Delaware Supreme Court, after the court issued a decision that could make it easier for companies to leave the state and reincorporate elsewhere. The decision comes after TripAdvisor announced its plans to shift its incorporation from Delaware to Nevada.
"Nevada is proving itself as a smart investment for businesses. From our business-friendly laws to our processing improvements and excellent customer service, there are more and more reasons to incorporate here,” said Secretary Aguilar. “I’m grateful the Delaware Supreme Court ruled in favor of allowing corporations to look for opportunities outside of Delaware.”
The Delaware Supreme Court cited a legal brief filed by the Nevada Secretary of State’s Office in June, which supported TripAdvisor and other corporations who were facing legal battles in Delaware after announcing they plan to reincorporate in Nevada.
In closing argument, the Supreme Court’s opinion cites the legal brief, “...healthy competition between states allows corporations to make their own value judgments about what corporate governance policy best serves a corporation’s needs,” (pg 63). In 2023, the Secretary of State’s Office launched ‘Project Orion’ to overhaul Nevada’s business licensing portal to make doing business easier in Nevada.
